Affiliate Partnership Agreement

Effective Date: December 2024

This Affiliate Partnership Agreement ("Agreement") is entered into between FusionPredictor ("Developer," "we," "us") and the approved affiliate partner ("Partner," "Affiliate," "you").

1. License Grant

Upon approval into the affiliate program, Developer grants the Partner a non-exclusive, non-transferable license to:

• Use the FusionPredictor trading indicators for personal use
• Promote the FusionPredictor indicator suite to their audience through approved marketing channels

Partner receives access via invite-only TradingView scripts. The Partner may not redistribute, copy, modify, or attempt to reverse engineer any code or proprietary technology.

2. Compensation & Revenue Split

• Revenue split: 60% Developer / 40% Partner
• Commission type: Recurring (for as long as the referred customer remains subscribed)
• Tracking: Via automated affiliate tracking system using your unique affiliate link
• Attribution window: 90 days (you receive credit for sales up to 90 days after someone clicks your link)
• Minimum payout: $50

If a user does not use the Partner's unique affiliate link, that subscriber is not attributed to the Partner and no commission is payable.

3. Commission Holdback & Refunds

• 60-day holdback: Commissions are held for 30 days before becoming payable. This accounts for our 14-day refund policy and potential chargebacks.
• Refund reversal: If a refund is issued or a chargeback occurs, the associated commission is automatically reversed.
• Payout schedule: Approved commissions are paid bi-weekly.

4. Term & Termination

• This Agreement is month-to-month with no minimum commitment.
• Either party may terminate with 30 days written notice.
• Upon termination, Partner retains all commissions earned up to the termination date but loses access to internal tools, dashboards, and promotional materials.
• Developer reserves the right to terminate immediately for violation of these terms.

5. Intellectual Property & Ownership

All indicators, source code, automation scripts, trading methodologies, and intellectual property remain the sole property of the Developer. The Partner receives usage rights only, not ownership. Partner may not:

• Claim ownership of any FusionPredictor technology
• Reverse engineer, decompile, or attempt to derive source code
• Redistribute or resell indicator access
• Create derivative works based on FusionPredictor technology

6. Marketing Conduct

Partner agrees to:

• No false performance claims: Do not guarantee specific returns, profits, or trading success
• No misleading statements: All promotional content must be truthful and accurate
• Platform compliance: Follow all rules of platforms where you promote (YouTube, TikTok, etc.)
• Ethical marketing: Market responsibly and in good faith

Developer reserves the right to review promotional methods and request modifications or removal of content that violates these guidelines.

7. Dashboard Access

Partner receives login access to the affiliate dashboard to view:

• Referred subscriber count
• Commission earnings (pending, approved, paid)
• Affiliate link performance and click tracking
• Conversion rates and analytics

This ensures full transparency regarding your referral activity and earnings.

8. Confidentiality

Both parties agree not to disclose:

• Subscriber personal data or contact information
• Internal dashboard metrics beyond what is necessary for partnership
• Non-public business strategies or plans
• Any proprietary technology, algorithms, or trading methodologies
• Commission rates of other affiliates

9. Disclaimer & Liability

The software and indicators are provided "as-is" without warranty of any kind.

• Trading involves substantial risk of loss and is not suitable for all investors.
• Past performance does not guarantee future results.
• The Developer is not responsible for any profit or loss incurred by the Partner or their referred customers.
• The Partner is responsible for their own tax obligations related to affiliate earnings.

10. Modifications

Developer may modify these terms with 30 days notice. Continued participation in the affiliate program after notice constitutes acceptance of modified terms.

11. Entire Agreement

This Agreement represents the full understanding between the parties regarding the affiliate partnership and supersedes any prior discussions, representations, or agreements.
